Corporate Governance
It is important for the Board of Directors of ISS A/S (the Board) to exercise good corporate governance. The Board therefore regularly reviews the ISS Group's corporate governance in relation to the ISS Group's activities, business environment, statutory requirements and corporate governance recommendations. Good corporate governance practices at ISS are implemented in a dynamic process with the Board continuously assessing the need for adjustments to benefit ISS' stakeholders and the ISS Group itself.
ISS has a two-tier management structure consisting of:
- the Board of Directors, and
- the Executive Group Management
The Board determines the overall ISS Group strategy and supervises ISS' activities, its management and organisation. The Executive Group Management is responsible for ISS' day-to-day operations. The two bodies are separate and no person serves as a member of both.
The ISS Group also has internal Corporate Governance Guidelines to ensure good corporate governance within the ISS Group.
